Terms of Service

By accessing or using the Telzyn communications platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. Telzyn is operated by Vukori Holdings LLC, a Wyoming limited liability company (“Company,” “we,” “us,” or “our”).

Telzyn provides a Communications Platform as a Service (CPaaS) including programmable SMS, voice, and verification APIs, phone number provisioning, and related developer tools and infrastructure (“Service”). The Service is designed for use by developers, businesses, and organizations building communications applications.

To access the Service, you must register an account. You agree to provide accurate and complete information during registration and to keep your account information current. You are responsible for maintaining the confidentiality of your API keys and account credentials. You are responsible for all activity that occurs under your account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to use the Service to:

• Send unsolicited commercial messages (spam)
• Transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers connected to the Service
• Violate any applicable local, state, national, or international law or regulation
• Send messages to recipients who have opted out of receiving communications
• Engage in any form of automated abuse or scraping of the Service

You agree to comply with all applicable telecommunications regulations including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and carrier guidelines for SMS and voice communications.

If you use the Service for healthcare communications subject to HIPAA, you must enter into a Business Associate Agreement (BAA) with Telzyn prior to transmitting any Protected Health Information (PHI). Contact [email protected] to request a BAA. Use of the Service for healthcare communications without an executed BAA is prohibited.

The following content categories are prohibited on the Telzyn platform regardless of jurisdiction:

• Illegal goods or services
• Adult content sent to unverified recipients
• Phishing or fraudulent content
• Malware distribution
• Content that violates third-party intellectual property rights
• Political campaign messaging without proper registration
• Cannabis-related content without verified carrier approval

All SMS and voice communications sent via Telzyn must comply with:

• TCPA requirements for consumer messaging
• 10DLC registration requirements for application-to-person (A2P) SMS
• Carrier codes of conduct
• Opt-out processing requirements (STOP, UNSUBSCRIBE, CANCEL must be honored)

Pay-as-you-go usage is billed monthly based on actual usage. You authorize Telzyn to charge your payment method for usage incurred. All fees are non-refundable except as required by applicable law. Telzyn reserves the right to modify pricing with 30 days notice.

Telzyn targets 99.9% uptime for the API. Scheduled maintenance will be announced in advance. Telzyn is not liable for service interruptions caused by third-party carrier networks, force majeure events, or factors outside Telzyn's reasonable control.

Your use of the Service is also governed by our Privacy Policy. Message content transmitted through the Service is processed to deliver communications and is not used for advertising purposes.

The Service and its original content, features, and functionality are owned by Vukori Holdings LLC and are protected by applicable intellectual property laws.

Telzyn may suspend or terminate your account for violation of these Terms, non-payment, or conduct that poses risk to the Service or other users. You may terminate your account at any time by contacting [email protected].

To the maximum extent permitted by law, Telzyn shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Telzyn's total liability shall not exceed the amounts paid by you to Telzyn in the three months preceding the claim.

These Terms are governed by the laws of the State of Wyoming and the United States of America, without regard to conflict of law provisions.
